# Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Seawise.io platform, including the website at seawise.io, the Seawise.io API, the Seawise.io Client software, and all related services (collectively, the "Service"). The Service is operated by Seawise.io ("Seawise.io", "we", "us", or "our"), a company registered in Ontario, Canada.

By creating an account, installing the Seawise.io Client, or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

## 1. Description of Service

Seawise.io is a platform that allows users to securely expose self-hosted applications running on their personal servers to the internet. The Service provides:

* **Seawise.io Client:** Software installed on your server that creates encrypted tunnels to our infrastructure.
* **Tunnel Infrastructure:** Managed relay servers that route traffic between the internet and your self-hosted applications.
* **Access Control:** Authentication, session management, and whitelist-based sharing so you control who can access your apps.
* **Web Dashboard:** A management interface for configuring servers, apps, and access permissions.

Seawise.io acts as a conduit for network traffic between your self-hosted applications and authorized end users. We do not host, store, or control the content served by your applications.

## 2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. By agreeing to these Terms, you represent that you meet this requirement.

## 3. Account Registration

To use the Service, you must create an account by providing a valid email address and authenticating through our supported authentication methods. You agree to:

* Provide accurate and complete registration information.
* Maintain the security of your account credentials.
* Promptly notify us of any unauthorized use of your account.
* Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

## 4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws. You are solely responsible for all content, data, and applications you expose through the Service.

**You must not use the Service to:**

* Host, distribute, or facilitate access to illegal content, including but not limited to child sexual abuse material, content that violates intellectual property rights, or content that facilitates illegal activities.
* Distribute malware, viruses, or other harmful software.
* Conduct or facilitate phishing, fraud, or social engineering attacks.
* Launch denial-of-service attacks or otherwise attempt to disrupt the Service or third-party systems.
* Mine cryptocurrency or run computationally abusive workloads through the tunnel infrastructure.
* Circumvent or attempt to circumvent access controls, rate limits, or usage restrictions.
* Resell, sublicense, or commercially redistribute access to the Service without our written consent.
* Expose apps that violate the laws of Canada or the jurisdiction in which you reside.

We reserve the right to investigate and take action (including suspension or termination) against any user who, in our sole discretion, violates this section. See the full **Acceptable Use Policy** for detailed guidelines.

## 5. Plans, Billing, and Payment

### 5.1 Free and Paid Plans

Seawise.io offers both free and paid subscription plans. Features, bandwidth limits, and server/app limits vary by plan. Current plan details are available on our website.

### 5.2 Billing

Paid subscriptions are billed through our third-party payment processor (currently Paddle). By subscribing to a paid plan, you also agree to our payment processor's terms of service. Our payment processor acts as the Merchant of Record for all transactions, handling payment processing, sales tax, and billing on our behalf.

### 5.3 Bandwidth Limits

Each plan includes a monthly bandwidth allocation. If you exceed your allocation, access to your tunneled apps may be restricted until the next billing cycle or until you purchase additional bandwidth.

### 5.4 Cancellation

You may cancel your subscription at any time through the dashboard. Upon cancellation:

* Your paid plan remains active until the end of the current billing period.
* After the billing period ends, your account will be downgraded to the free plan.
* You will not receive a prorated refund for the remaining time in the billing period.

Please see our [Refund Policy](https://docs.seawise.io/legal/refund-policy) for details. Seawise.io offers a free tier so you can evaluate the Service before subscribing to a paid plan. Refunds are handled on a case-by-case basis for billing errors and service issues.

### 5.6 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly) at the then-current subscription price. You will be charged automatically unless you cancel before the renewal date. You may cancel at any time through the dashboard, and cancellation takes effect at the end of the current billing period.

### 5.7 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will take effect at the start of your next billing cycle after the notice period.

## 6. Privacy and Data Processing

Your use of the Service is also governed by our **Privacy Policy**, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

We process personal data in accordance with PIPEDA (Canada), GDPR (EU), and CCPA (California) as applicable. All third-party service providers who process data on our behalf are bound by data processing agreements that require them to handle your data securely and only for the purposes we specify. Details of our service providers and the data they process are listed in our Privacy Policy.

## 7. Intellectual Property

### 7.1 Our Property

The Service, including the Seawise.io Client software, website, API, documentation, and all associated intellectual property, is owned by Seawise.io and protected by Canadian and international copyright, trademark, and other intellectual property laws.

### 7.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Seawise.io Client software and access the Service in accordance with these Terms.

### 7.3 Your Content

You retain all rights to the content and applications you expose through the Service. We do not claim ownership of your content. By using the Service, you grant us only the technical permissions necessary to route traffic to and from your applications.

### 7.4 Open Source Components

The Seawise.io Client includes open source components, each governed by their respective licenses. A list of open source components and their licenses is available in the Client's source repository.

## 8. Availability and Support

### 8.1 Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

### 8.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

### 8.3 Support

Support is provided on a best-effort basis via email at <support@seawise.io>. Paid plans may include enhanced support options as described on our website.

## 9. Data and Security

### 9.1 Traffic Handling

Seawise.io routes traffic between the internet and your self-hosted applications through encrypted tunnels. We do not inspect, log, store, or modify the contents of your application traffic passing through the tunnels.

### 9.2 Encryption

Connections between the Seawise.io Client and our relay infrastructure are encrypted using TLS. Browser connections to your apps are encrypted via HTTPS through Cloudflare. Traffic within our internal infrastructure (between pods in our Kubernetes cluster) traverses a private network.

### 9.3 Your Responsibility

You are responsible for:

* The security of your self-hosted applications and servers.
* Ensuring your applications do not expose sensitive data unintentionally.
* Managing access permissions (whitelists) for your apps.
* Keeping the Seawise.io Client software up to date.

### 9.4 Security Incidents

If we become aware of a security incident affecting the Service, we will notify affected users in accordance with applicable Canadian privacy laws.

## 10. Limitation of Liability

**To the maximum extent permitted by applicable law:**

* The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
* Seawise.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Service.
* Seawise.io's total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the amount you paid to Seawise.io in the twelve (12) months preceding the claim.
* Seawise.io is not responsible for the content, security, or availability of applications you expose through the Service.
* Seawise.io is not responsible for any loss or damage resulting from unauthorized access to your account, servers, or applications.

## 11. Indemnification

You agree to indemnify, defend, and hold harmless Seawise.io, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

* Your use of the Service.
* Content or applications you expose through the Service.
* Your violation of these Terms or any applicable law.
* Any third-party claim related to content or apps accessed through your tunnels.

## 12. Account Termination

### 12.1 By You

You may delete your account at any time through the dashboard. Upon deletion:

* Your servers and apps will be immediately disconnected.
* Your profile and associated data will be deleted.
* Active sessions for your apps will be revoked.
* This action is irreversible.

### 12.2 By Us

We may suspend or terminate your account at any time if:

* You violate these Terms or the Acceptable Use Policy.
* Your account is used for illegal activities.
* Required by law or legal process.
* Your account has been inactive for more than 12 months (free plan only).

We will make reasonable efforts to notify you before termination, except where prohibited by law or where immediate action is necessary.

## 13. Dispute Resolution

### 13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

### 13.2 Jurisdiction

Any disputes arising out of or related to these Terms shall be resolved in the courts of Ontario, Canada, and you consent to the exclusive jurisdiction of those courts.

### 13.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at <support@seawise.io> and attempt to resolve the dispute informally for at least 30 days.

## 14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

## 15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

## 16. Force Majeure

Seawise.io shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: natural disasters, acts of government, internet or infrastructure outages, third-party service provider failures, cyberattacks, pandemics, or other events that are unforeseeable or unavoidable. During a force majeure event, our obligations under these Terms are suspended for the duration of the event.

## 17. Electronic Communications and Consent

By creating an account, you consent to receive essential service communications from us electronically, including:

* Account verification and authentication emails.
* Service outage, security, and billing notifications.
* Changes to our Terms, Privacy Policy, or other legal documents.

These are transactional communications required for the operation of the Service and are not marketing. We will not send marketing or promotional emails unless you explicitly opt in. You may opt out of marketing communications at any time. This is in compliance with Canada's Anti-Spam Legislation (CASL).

## 18. Export Compliance

The Service may be subject to Canadian and international export control laws and regulations. You agree not to use, export, or re-export the Service in violation of any applicable export laws, including to any country, entity, or individual subject to Canadian or international sanctions.

## 19. Consumer Protection

If you are a consumer in Ontario, Canada, your rights under the Ontario Consumer Protection Act, 2002 are not affected by these Terms. You have the right to transparent pricing information, clear cancellation procedures (available through the dashboard at any time), and protection against unfair business practices. Nothing in these Terms limits or excludes your statutory consumer rights.

## 20. Acceptance of Terms

By clicking "I Accept" during account registration, or by using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. This constitutes a valid and enforceable electronic agreement under Ontario law.

## 21. Entire Agreement

These Terms, together with the Privacy Policy, Acceptable Use Policy, and Refund Policy, constitute the entire agreement between you and Seawise.io regarding the Service and supersede all prior agreements and understandings.
